Important disclosures.
General information regarding 5thN Financial and its portfolio-management approach.
Registration and services
5thN Financial describes itself as an Arkansas-registered investment adviser. Registration does not imply a specific level of skill, training, or approval by a state or federal regulator. The firm’s registration status and disclosure information should be verified through IAPD/AdviserInfo (firm CRD 286020). The Form ADV brochure dated February 16, 2026 (Parts 2A and 2B) and applicable advisory agreements describe the firm’s disclosed services, compensation, conflicts, and other terms as of the brochure date. The IAPD firm record can be used to confirm the firm’s current registration and filings. Website information is general and may not describe every service, restriction, or client category. References to independence describe the firm’s advisory positioning and should not be understood as a claim of freedom from all potential conflicts of interest. The filed brochure describes continuing education, digital services, and portfolio-management software as additional business activities; any new material arrangements must be evaluated for required disclosures and updates.
No individualized advice or client relationship
This website is for informational purposes and is not personalized investment advice, an offer to enter into an advisory agreement, or a solicitation where prohibited. An investment advisory relationship exists only after required documentation and any applicable client-acceptance processes are completed. Services may not be available in every jurisdiction.
Investment risks
All investing involves risk, including the possible loss of principal. Capital preservation refers to an investment objective, not an assurance that the original amount invested will be maintained. Seeking market participation exposes a portfolio to price fluctuations and potential losses. Asset allocation, diversification, risk limits, quantitative techniques, and active portfolio management do not guarantee returns, prevent losses, or ensure that an investment objective is achieved. Securities and funds held in client portfolios may entail additional issuer, liquidity, concentration, interest-rate, credit, market, and other risks.
Proprietary research and model limitations
Expanded Portfolio Theory (EPT) and the proprietary asset model are internal analytical tools. Their estimates depend on data quality, assumptions, and market conditions and may prove inaccurate. Historical information and model-generated conclusions do not necessarily predict future performance. This site intentionally presents no performance figures, model backtests, client testimonials, or third-party ratings.
Fees, custody, and conflicts
Before entering an advisory relationship, prospective clients should review the current Form ADV brochure, any applicable brochure supplements, and the advisory agreement for services, fee calculation, investment discretion, custody, outside activities, potential conflicts, termination and refunds of any prepaid fees, and any disciplinary disclosures. 5thN Financial develops proprietary portfolio research and methodologies that may be used in advisory accounts or licensed separately to other firms. Any compensation, affiliation, or other financial interest arising from such arrangements could create a conflict if, for example, a related investment product were considered for an advisory account. Material conflicts must be evaluated, addressed, and disclosed to clients as required; the absence of a product-sales role does not eliminate all potential conflicts. Advisory fees and costs may apply regardless of portfolio performance and reduce returns. Investments may also incur transaction charges, custodian fees, taxes, and fund-level expenses. A website link does not by itself replace required delivery of disclosure brochures and supplements.
Advisory terms, custody, termination, and suggested portfolio size
The February 16, 2026 Form ADV describes discretionary portfolio management and identifies Interactive Brokers as broker and custodian. The current brochure and advisory agreement explain the firm’s advisory-fee arrangements and applicable expenses; no fee rate is published on this website. The brochure also describes a five-business-day cancellation period after agreement signing without obligation, followed by a 30-day written notice requirement for termination; compensation may accrue for days of service. Brokerage and investment-product expenses are separate from advisory fees. 5thN Financial generally prefers portfolios of $1 million or more in assets to be managed. This level provides additional flexibility in establishing, maintaining, and adjusting diversified portfolios within our investment approach. Smaller accounts may be considered individually. Each prospective engagement is evaluated individually and is subject to agreement on terms. Please review the firm’s most recent Form ADV filings and discuss any questions with the adviser before engaging the firm.
Group meetings and jurisdictional limits
In-person group meetings are currently offered only in Arkansas. Group presentations are general educational discussions, not individual recommendations. Organizing or attending a meeting does not create an advisory relationship. Advisory services are offered only where 5thN Financial and its representatives are registered or properly exempt from registration. Meeting organizers are not offered compensation for referrals or endorsements through this website; any such arrangement would require separate review and appropriate disclosures.
Communications and privacy
Do not submit sensitive personal information or trading orders through the group meeting request form. This site links to an external Google Form for group meeting requests. Information entered may be processed by the form provider and received by the firm according to its settings. The firm should maintain appropriate review of form fields, access permissions, storage, retention, security practices, and privacy disclosures. Electronic communications may not be secure or monitored continuously.
Marketing and reference materials
The firm’s portfolio research and any linked research or professional-profile websites should be evaluated separately for material accuracy and consistency with current disclosures. Performance material, if ever disseminated, may be subject to additional requirements. Regulatory filings may change, and prospective clients should review current filings rather than rely solely on this website.
